Luther advises ista SE on the takeover of Chargemaker GmbH

The leading real estate service provider ista SE has acquired Chargemaker GmbH, a specialist for charging infrastructure for e-vehicles, from Mainova Aktiengesellschaft and Dussmann Service Holding GmbH. Luther advised ista comprehensively on the transaction and is thus promoting the growth and development of the charging infrastructure for e-cars: ista plans to invest 30 million euros and create 25,000 new charging points by 2030.

Background

The real estate service provider ista has fully acquired Chargemaker GmbH with effect from August 1, 2024, thus laying the foundations for growth with charging infrastructure for electric mobility. "The acquisition of Chargemaker ideally complements our own profile to form a new, strong competence center for charging infrastructure in Germany. The focus will be on the building sector, where we will be able to offer our customers an even wider range of climate-friendly solutions in the future," said ista CEO Hagen Lessing.

Chargemaker was founded in 2020 as a joint venture between the Dussmann Group and the regional energy supplier Mainova AG. Over the past four years, the Frankfurt-based company has established itself with over 2,000 charging points for numerous business customers in Germany. With almost 40 employees, Chargemaker has extensive experience and wide-ranging expertise in the fields of electromobility and energy management. With the help of Chargemaker's expertise and know-how, ista plans to invest up to 30 million euros by 2030 to set up and operate 25,000 new charging points for its own customers.

On the ista SE side, the transaction was legally coordinated by the General Counsel, Dr. Frithjof Behrens, and with regard to transaction-related issues by Head M&A, Jens Busse, and Senior Manager M&A Daniel Haas. Luther has once again documented its expertise with the industry-focused energy M&A team led by Dr. Björn Simon. Only recently, the experienced transaction team advised the State of Berlin on the acquisition of the heating network and combined heat and power plants from Vattenfall.

The transaction was notarized by Dr. Alexander Haines, notary's office Faust Gerber Haines in Frankfurt am Main.
